Terms of Service
The terms for working with us: payments, ownership, changes and more, in simple words.
Clear terms for both sides, so there are no surprises.
These Terms of Service explain how we work with our clients. They apply between Dgisight (a brand of Oxzeen) and the people and businesses who hire us for websites, mobile apps, custom software or design.
1. Agreeing to These Terms
By hiring Dgisight, signing a project quote or agreement, paying an advance, or sending us instructions through our website, you agree to these Terms of Service.
If you are signing for a company or organization, you confirm that you have the authority to agree to these terms on its behalf.
2. Our Services
Dgisight provides these services:
- Custom Software and Web Applications: Business software made for you, such as billing, inventory, CRM, HR and patient management tools.
- Websites and Online Stores: Business websites, portfolios, blogs and landing pages, and online stores with payment gateways and an admin panel.
- Mobile Apps: Android, iOS and cross-platform apps (Flutter, React Native).
- UI/UX and Brand Design: Wireframes, clickable Figma prototypes, design systems, logos, and brand colors and fonts.
The features, stages and deliverables for each project are listed in your quote or written project agreement.
3. Quotes and Payments
Every project follows the prices agreed in our quote:
Payment in Stages
Projects are usually split into clear stages, such as advance, prototype, test version and final handover.
Advance Payment
We start work after we receive the first (advance) payment mentioned in the signed agreement.
Due Dates and Currency
Invoices are due within 7 business days of the invoice date. You can pay in INR (₹) or USD ($) by bank transfer or an approved payment method.
Taxes
Invoices include any taxes that apply by law, such as GST in India.
4. Client Responsibilities
A project goes smoothly when we work together. As the client, you agree to:
- Send us the content, brand files, logins and third-party account access that we need, on time.
- Choose one person to give us your feedback, and share it within 5 business days.
- Make sure that the content, logos and files you give us do not break anyone else’s copyright.
5. Ownership of Your Work
You Own What We Build for You
Once all project invoices are paid in full, the custom source code, repository access, finished files and designs that we created specifically for your project belong to you.
- Open-Source Tools: Projects often use open-source tools (for example Next.js, React, Tailwind CSS and Radix UI). These stay under their own licenses.
- Showing Our Work: Unless an NDA says otherwise, Dgisight may show non-confidential screenshots and links of your project in our portfolio and case studies.
6. Revisions and Changes
Each stage of the project includes review rounds (usually 2 rounds of design and interface changes), as listed in your project agreement.
If you ask for new features, big changes to the plan, or anything outside the agreed project, we will price it separately as a change request. We will tell you the extra cost and time before we start.
7. Confidentiality
Both sides agree to keep private any business, financial or confidential information that the other side shares during the project, and not to misuse it.
This promise continues after the project is finished, launched or ended, for at least three (3) years.
8. Warranty and Liability
30-Day Warranty After Launch: Dgisight confirms that the software we deliver works substantially as described in the approved project plan. If you report a serious bug within thirty (30) days after the final handover, we will fix it at no extra cost.
Limitation of Liability: To the extent the law allows, Dgisight's total liability for any project is limited to the fees you paid for that project in the six months before the claim. We are not responsible for indirect or consequential losses, such as lost profit, or for problems caused by third-party services such as hosting providers.
9. Cancellation
Either side may end the project by giving fourteen (14) days written notice, if the other side breaks an important term and does not fix it within that time.
If a project is cancelled, the client pays only for the stages completed, or the work done, up to the cancellation date. We will hand over the completed work after the payment is settled.
10. Governing Law
These terms and any project agreement follow the laws of India.
Any dispute about our services will be handled only by the competent courts in West Bengal, India. Before going to court, both sides agree to try to solve the problem through a friendly talk.
11. Changes to These Terms
We may change these Terms of Service. If you already have an active project, the terms that applied on the date you accepted our quote or agreement will continue to apply to that project, unless we both agree in writing to change them.
